Commercial Pay-Per-Usage License Agreement

1. Definitions

  • Product: CoverageMap's enterprise products, including API, tools, documentation, keys, and endpoints.
  • Output: Data returned by the Product or API (e.g., signal strength values, coverage percentages, tiles, provider information, etc.).
  • Application: Any software, service, website, report, or workflow you build using the Product.
  • Account: Your enterprise account used to authenticate and pay for usage.
  • Customer: The legal entity entering into this Agreement with CoverageMap LLC.
  • End User: Any person or entity accessing your Applications.

2. License Grant (Commercial)

Subject to payment of usage fees and compliance with this Agreement, CoverageMap grants you a revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Product for commercial purposes.

You may incorporate the Product into your Applications and make Output available to End Users as an integrated component of those Applications.

3. Ownership

CoverageMap retains all rights, title, and interest in the Product and documentation. Except for the license expressly granted herein, no rights are conveyed by implication or otherwise.

4. Billing & Usage (Pay-Per-Usage)

Billing and usage terms are defined in the Product documentation and are subject to change at the discretion of CoverageMap LLC.

Usage is tracked in real time and is visible in your Enterprise Dashboard (Subscriptions & Invoices).

5. Data Retention & Caching Rights

  • You may persist, cache, download, and store API responses on your own systems for any period during or after your subscription.
  • An indefinite license to use previously retrieved Output survives termination, subject to this Agreement's restrictions.
  • If CoverageMap notifies you of a third-party takedown requirement for specific data, you will promptly remove such data from downstream products.

6. Permitted Commercial Uses

  • Integrating the Product into commercial software, websites, mobile apps, and SaaS platforms.
  • Displaying Output to your customers and End Users.
  • Internal business operations, analytics, reporting, and decision-making.
  • Selling products or services that incorporate the Output as part of a broader offering.
  • Building customer-facing dashboards, maps, and reporting tools.

7. Commercial Restrictions

  • No selling or redistributing Output as a standalone dataset.
  • No offering the Output as a competing API or data service.
  • No sublicensing or reselling API access.
  • No bypassing authentication, usage tracking, billing, or rate management.
  • No sharing API keys outside your organization except as necessary to operate your Applications.

8. Acceptable Use

You will not: (a) misrepresent Output; (b) bypass authentication, usage tracking, or rate management; (c) scrape or bulk-extract beyond documented endpoints; (d) reverse-engineer or derive source datasets from Output; (e) use the API for spam, surveillance of individuals, or unlawful processing; or (f) infringe third-party rights.

9. Security & Keys

Keep API keys confidential; implement domain/IP/token restrictions where supported; rotate keys on suspected compromise; notify CoverageMap of any breach impacting the API.

10. Attribution

Attribution is appreciated but not required.

If you choose to provide attribution, reasonable wording includes:

"Coverage data via CoverageMap.com."

Do not imply CoverageMap endorsement.

11. Term & Termination

This Agreement begins on the Effective Date of your Account's activation and continues until terminated.

CoverageMap may suspend or terminate access for breach, abuse, or unpaid fees.

Upon termination, Product access ceases; however, your indefinite license to previously retrieved Output survives, subject to Section 8 and any takedown notices.

12. Warranty Disclaimer

THE PRODUCT AND OUTPUT ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(A) COVERAGEMAP WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; AND

(B) COVERAGEMAP'S TOTAL LIABILITY RELATING TO THE PRODUCT, OUTPUT, OR THIS AGREEMENT WILL NOT EXCEED THE FEES PAID BY YOU FOR THE PRODUCT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

14. Indemnity

You will defend, indemnify, and hold harmless CoverageMap from claims arising out of your use of the Product or Output, including your Applications, except to the extent caused by CoverageMap's willful misconduct.

15. Changes

CoverageMap may update the Product or documentation in a manner that is backward-compatible where feasible.

Material adverse changes to pricing or permitted use will be announced in advance using your enterprise Account's email.

16. Compliance

You will comply with applicable law, including telecom, privacy, export, and consumer-protection laws.

You will not use Output to identify or target individuals.

17. Miscellaneous

This is the entire agreement and supersedes prior proposals.

If any provision is unenforceable, the remainder remains in effect.

Neither party is liable for delay or failure due to force majeure.

You may not assign this Agreement without CoverageMap's consent. CoverageMap may assign this Agreement to an affiliate or in connection with a merger or sale.
